GENERAL TERMS AND CONDITIONS OF SALE :

These general terms and conditions of sale of Theza International, as periodically amended, govern the sale of any product and should be considered an integral part of any sale/order placed with Theza International.

These general terms and conditions of sale complement the specific terms of sale listed in the contract/invoice issued by Theza International. The customer is defined as the person(s) purchasing/ordering any products sold by Theza International.

PRICE:

The agreed price applies only to the products specifically described in the contract, on the invoice, or on the sales slip, including their accessories.

The quoted price is valid for 30 days from the date the quote is provided to the customer. A non-refundable deposit of 50% may be required for a special order.

TERMINATION:

A Theza International sales agreement can only be terminated with the written consent of an authorized representative of Theza International and only under conditions that compensate for the costs incurred related to the customer’s project.

The customer’s failure to take delivery of the order constitutes a breach of the buyer’s obligations and gives Theza International the right to seek compensation, in accordance with applicable law.

PAYMENT:

Unless otherwise agreed in the specific terms, all payments must comply with the prior agreement of the sales contract. Late payment penalties of 2% per month (24% per year) on the outstanding balance will be charged to the customer. In the event of collection action for payment, the customer agrees to fully compensate Theza International.

OWNERSHIP:

The products remain the sole property of Theza International until the customer has fully fulfilled all obligations.

DELIVERY:

Delivery is not included in the price unless specified in the sales contract or on the invoice provided to the customer.

Theza International reserves the right to make deliveries as soon as the product is manufactured or received. Notwithstanding any other provision, delayed deliveries requested by the customer may incur additional storage fees at the customer’s expense.

Non-conforming products will be replaced by Theza International at its expense as soon as possible. The customer may not use a non-conforming delivery to obtain a price reduction or cancel this contract.

Once the products sold are delivered to the location specified in the contract, the customer assumes full responsibility for the delivered products, including any total or partial loss or damage. The customer agrees to maintain insurance against theft, fire, vandalism, or any other risk for the delivered products, for an amount at least equal to the contract value with Theza International. Furthermore, the customer transfers to Theza International the right to collect any insurance compensation related to the contract to cover any unpaid balance of the price.

PRODUCT RETURNS:

Only products returned in a full, unopened box and free of damage will be accepted. Any special order products, items sold by the pallet, or clearance items are not eligible for returns. A 20% handling fee based on the retail price applies, and return shipping costs are the responsibility of the customer. No returns will be accepted more than 30 days after delivery. Refunds will be issued as a credit applied to the customer’s account.

LIABILITY:

The customer is responsible for inspecting the products they accept, including quantity, color, size, production lot, and any potential defects. It is also the customer’s responsibility to ensure that the product is suitable for its intended use.

Except in the case of proven fault, Theza International will not be liable for any direct or indirect damage resulting from delays beyond its control.

Theza International is not responsible for any unauthorized repairs or modifications made to the products and accessories sold.

Theza International can never be held liable for damages exceeding the amount paid by the customer.

Likewise, Theza International shall not, under any circumstances, be held responsible for any indirect loss, regardless of cause, including but not limited to labor costs, delays, loss of profit, or loss of clients resulting from the sale, installation, or use of the supplied product.

WARRANTY:

Each product sold by Theza International is guaranteed in accordance with the manufacturer’s provisions.

No claim will be accepted after installation, abusive handling, or non-compliant installation. These conditions release Theza International from liability.

Subject to applicable legal provisions and these general terms and conditions, no other explicit or implied warranty exists for the products sold.

PRODUCTS:

The customer accepts minor variations in finishes, colors, or textures of the delivered products and product samples presented. Accordingly, the customer may not use these differences to obtain a price reduction or cancel this contract.

The technical specifications of the products and services offered by Theza International should not be considered definitive or exact for specific requirements.

CONTRACT:

In the absence of a formal sales contract, the invoice and sales slip may have contractual value specifying special terms of sale and complementing or overriding these general terms and conditions.

The only general and specific terms of the sales contract for products and/or services are those set by Theza International and/or agreed upon by the parties and recorded in this contract.

This contract binds the heirs, executors, administrators, successors, and assignees of both the customer and Theza International.

The invalidity of any clause of this contract shall not affect the validity of the remainder of the contract.

CUSTOMER COMMITMENT:

Each signatory acting on behalf of a buyer that is a corporation or company agrees, by signing, to be jointly and severally liable with the corporation or company and waives the benefit of division and discussion.

The customer acknowledges having read each clause of this contract or having had the opportunity to do so and declares themselves satisfied with the contract and the sales price.

JURISDICTION:

The customer agrees to submit to the jurisdiction of the courts of Quebec, Superior Court of the district of Terrebonne.
